Terms of Service

01The service

TradeShield keeps your technicians' licenses in one place, checks them against the Texas Department of Licensing and Regulation's (TDLR) public data every morning, and sends renewal alerts to the tech, the office and the owner. Alerts go out by email today. Text alerts will be added later and will follow the rules in the Privacy Policy.

We keep improving TradeShield, so features may change. If we take away something central to what you're paying for, we'll tell you first, and you can cancel.

02You're still responsible for your licenses

• TDLR's public data can run a few days behind TDLR's own site, and it can contain mistakes. For the official record, check TDLR's license search.
• Alerts depend on the license numbers and contacts you enter being right, and on emails getting through spam filters.
• TradeShield isn't affiliated with or endorsed by TDLR, and nothing we send is legal advice.

We are not responsible for an expired license, a fine, a lost job or any other result of a license lapsing, even if an alert was late, wrong or never arrived.

03Free trial and billing

• The Pro Crew Plan is $99 per month, flat, however many techs you track. Sales tax is added where it applies.
• New accounts start with a 7-day free trial. You enter a card on Square's checkout page, and nothing is charged during the trial.
• Unless you cancel, Square charges $99 when the trial ends, then every month on that date, until you cancel.
• We may change the price. If we do, we'll email the account owner at least 30 days before the new price applies, and you can cancel before then.
• If a payment fails, we'll let you know. If it isn't sorted out, we may pause your account until it is.

04Cancelling

• To cancel, email overton@gettradeshield.cloud or reply to any TradeShield email from the address on your account. We'll confirm by email.
• During the trial: ask before the trial ends and you won't be charged. If a charge goes through anyway after you asked, we'll refund it.
• After the trial: cancelling stops the next charge. You keep access until the end of the month you've paid for.
• We don't give refunds for part of a month, unless the law requires one.
• After your subscription ends, we keep your data for 90 days in case you come back, then delete it. Ask before then and we'll send you a copy of your crew and license list.

05Accounts and your team

• Keep your password to yourself. Each person should have their own login.
• The account owner decides who gets invited (an office manager, for example) and is responsible for what invited users do in the account.
• Tell us right away if you think someone got into your account who shouldn't have.

06Your data and your crew's

• The information you put into TradeShield stays yours. You let us store and use it only to run the service for you, as the Privacy Policy describes.
• When you add a technician's email or phone number, you're confirming that you're allowed to share it with us and that the tech knows they'll get license alerts from TradeShield. Before text alerts are turned on for anyone, that person must agree to receive texts.
• Ask anytime and we'll send you a copy of your crew and license list.

07The free license lookup

The free lookup and reminder emails cost nothing and come without promises. They show TDLR's public data as we receive it, and we may change or stop them anytime. Every reminder email has a one-click unsubscribe. Section 02 applies to the free tools too.

08Fair use

Don't use TradeShield to:

• break the law, or harass, spam or mislead anyone, including people whose public license records you look up;
• copy or scrape the site or its license data in bulk, or resell access to it;
• test, probe or get around our security, or put more load on the service than normal use would;
• add people or license information you have no business reason to track.

If you do, we may suspend or close your account. Where it's reasonable, we'll warn you first.

09Warranties and liability

We work hard to keep TradeShield accurate and running, but we provide it "as is" and "as available". To the extent the law allows, we make no promises beyond what these terms say, including about fitness for a particular purpose, accuracy or uninterrupted service.

To the extent the law allows, we are not liable for indirect, incidental, special or consequential losses, such as lost profits, lost jobs, fines or penalties. Our total liability for any claim about TradeShield is limited to what you paid us in the 12 months before the claim, or $100 if you used only the free tools.

If someone brings a claim against us because of how you used TradeShield or the data you put into it (for example, contacting a tech without their permission), you agree to cover our reasonable costs of dealing with it.

10Legal details

• Texas law governs these terms. Any dispute goes to the state or federal courts in Harris County, Texas, though either of us can use small claims court for a claim that qualifies.
• If we change these terms, we'll post the new version here with a new date. If a change matters, we'll email account owners at least 30 days ahead. If you keep using TradeShield after the change takes effect, you're accepting it.
• If a court finds part of these terms unenforceable, the rest still applies. If we don't enforce a term right away, we haven't given it up.
• You can't transfer your account to someone else without asking us. We can transfer these terms if the business is sold.
